PUBLIC OFFER AGREEMENT

(Public Offer for the Purchase of Digital Products and Premium Subscription Services)

This document, permanently posted on the Internet at: https://soul-sync.me, in accordance with Articles 389, 395 and 396 of the Civil Code of the Republic of Kazakhstan, constitutes a User Agreement and an official offer (public offer) from Xponend (hereinafter referred to as the "Provider"), to enter into an Agreement (hereinafter referred to as the "Offer" and/or "Agreement") with any interested individual over 18 years of age who uses the SoulSync mobile application and website at https://soul-sync.me (hereinafter referred to as the "Service") and accepts this offer under the conditions specified below (hereinafter referred to as the "User").

The Agreement concluded by acceptance of this Offer is governed by civil law, including but not limited to the provisions on adhesion contracts (Article 389 of the Civil Code of the Republic of Kazakhstan) - as its terms are determined by the Provider in this Offer and may be accepted by any interested individual who has reached 18 years of age only by joining the proposed Agreement in full without any exceptions or limitations.

1. Acceptance of the Offer

Acceptance of this Offer is equivalent to entering into an Agreement on the terms set forth in this Offer. The User is considered to have concluded an Agreement with the Provider by performing the following actions:

  • Registration in the Service (creating an account)
  • Clicking "I accept the terms of the user agreement" or similar confirmation buttons
  • Making a payment for digital products or premium subscription
  • Using any paid features of the Service

The date of acceptance (date of Agreement conclusion) is the date funds are credited to the Provider's account or the date of account registration, whichever occurs first for free features.

2. Terms and Definitions

Service/Platform: The SoulSync mobile application and website (https://soul-sync.me) providing personality assessment tests and compatibility matching services.

Digital Products: Personality assessment tests including MBTI, Spectrum, EQ (Emotional Intelligence), IQ, and Attachment Style tests, provided as digital content through the Service.

Premium Subscription: A recurring paid service providing enhanced access to Service features, including unlimited test attempts, advanced compatibility analysis, and premium matching features.

Test Access Purchase: A one-time digital goods purchase granting access to specific personality assessment tests and their detailed results.

User: An individual over 18 years of age who has registered in the Service and accepted the terms of this Offer.

3. Subject Matter, Cost and Payment Procedure

3.1 Digital Products (Test Access)

The Provider offers the following digital products for purchase:

  • MBTI Personality Test - Myers-Briggs Type Indicator assessment
  • Spectrum Test - Personality strength analysis based on psychological methodology
  • EQ Assessment - Emotional Intelligence evaluation
  • IQ Test - Intelligence Quotient assessment
  • Attachment Style Test - Relationship attachment pattern analysis

Each test purchase includes: test access, detailed results, personality insights, and compatibility recommendations. Test purchases are one-time digital goods that do not expire once purchased.

3.2 Premium Subscription

Premium subscription plans include:

  • Monthly Premium: Recurring monthly subscription
  • Annual Premium: Recurring annual subscription with discount

Premium features include: unlimited test retakes, advanced compatibility analysis, priority matching, detailed relationship insights, and exclusive content access.

3.3 Payment

Payment is processed through TipTopPay payment system (https://tiptoppay.kz). The User can pay using:

  • Bank cards (Visa, Mastercard)
  • Other payment methods available through TipTopPay
  • In-app purchases through App Store or Google Play (where applicable)

All prices are displayed in the application and are subject to change. Prices do not include VAT (tax-exempt). The Provider is not responsible for bank fees or commissions charged by payment processors.

4. Nature of Digital Goods

Important Notice

All products offered through SoulSync are digital goods delivered electronically:

  • Personality test access and results are delivered immediately upon purchase
  • Digital content is non-tangible and accessed through the Service
  • Once a test is started or results are viewed, the digital product is considered consumed
  • Subscription services provide continuous access to premium features during the subscription period

By purchasing digital products, the User acknowledges that they are acquiring intangible digital content that is delivered and consumed electronically through the Service.

5. Rights and Obligations

5.1 Provider Obligations

  • Provide access to purchased digital products and subscription services
  • Ensure Service availability 24/7, except for technical maintenance periods
  • Protect User personal data in accordance with the Privacy Policy
  • Provide technical support for Service-related issues
  • Notify Users of significant changes to the Service or this Agreement

5.2 User Obligations

  • Provide accurate and truthful information during registration
  • Maintain confidentiality of account credentials
  • Make timely payments for purchased products and subscriptions
  • Not distribute, share, or resell digital content to third parties
  • Comply with the Terms of Service and this Agreement
  • Not use the Service for illegal purposes

5.3 User Rights

  • Access purchased digital products and subscription features
  • Receive accurate information about products and services
  • Request support for technical issues
  • Cancel subscription in accordance with the terms below

6. Subscription Terms

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • Users can cancel subscriptions at any time through app settings or platform subscription management
  • Cancellation takes effect at the end of the current billing period
  • No partial refunds for unused subscription time upon cancellation
  • Price changes will be communicated in advance and apply to the next billing cycle

7. Refund Policy

7.1 Digital Products (Tests)

Due to the nature of digital goods, refunds for test purchases are available only if:

  • The test has not been started or accessed
  • Technical issues prevented access to the purchased content
  • Request is made within 14 days of purchase

7.2 Subscriptions

Subscription refunds follow platform policies (App Store/Google Play) for in-app purchases. For direct purchases, refunds may be requested within 14 days if no premium features were used.

To request a refund, contact support with your purchase details. Refunds are processed within 10 business days to the original payment method.

8. Intellectual Property

All content, including but not limited to test questions, algorithms, results analysis, graphics, and software, is the intellectual property of the Provider. Users receive a non-exclusive, non-transferable license to use purchased digital content for personal purposes only.

Unauthorized reproduction, distribution, or commercial use of any Service content is strictly prohibited and may result in legal action.

9. Liability and Disclaimers

  • Personality assessments are for entertainment and self-discovery purposes only
  • Results are not professional psychological diagnoses
  • The Provider is not liable for decisions made based on test results
  • The Provider is not responsible for third-party payment processor issues
  • Force majeure events release both parties from obligations

10. Term and Termination

This Agreement comes into force upon acceptance and remains valid indefinitely. Either party may terminate:

  • User: By deleting their account (purchased content access ends)
  • Provider: For violation of Agreement terms, with 7 days notice when possible

11. Dispute Resolution

All disputes shall be resolved through negotiation. The pre-trial claim procedure is mandatory with a 10-day response period. If resolution is not reached, disputes shall be settled in courts of the Republic of Kazakhstan at the Provider's location.

By using SoulSync and making purchases, you confirm that you have read, understood, and agree to be bound by this Public Offer Agreement. This Agreement constitutes a legally binding contract between you and Xponend for the purchase and use of digital products and services.
